COMPANY SECRETARY

In accordance with the Companies Act 2006, as from 6 April 2008, the appointment of a Company Secretary is now optional.

The duties of the Company Secretary must still be fulfilled (ie maintenance of the company's statutory books and companies house filings, including annual return.) These duties will transfer to the Directors if there is no Company Secretary appointed. 

The Companies Act 2006 is being implemented in stages throughout 2008 and 2009 and the appointment of a professional Company Secretary may be advantageous in ensuring that the company remains compliant throughout this period.   It may also prove helpful when dealing with banks and other financial institutions as it is unclear at present whether banks have re-organised their systems to allow business dealings with the signature of the director alone.
